Karen C. Goodin

Karen C. Goodin, formerly a partner at Preston, Gates & Ellis and at Riordan & McKinzie (now Bingham McCutchen), has extensive experience in representing issuers in public and private offerings of debt and equity securities, including numerous Rule 144A offerings. She also has handled many mergers and acquisitions and has experience with tender offers, debt and equity financings and financial restructuring.

Karen has extensive experience with ’33 and ’34 Act registration, reporting and compliance matters. She has been involved in numerous equity financings of start-up, emerging and troubled companies, at times representing the issuer, the venture capitalist, the private equity fund or the strategic investor. Karen has also represented venture capital and private equity funds in numerous private placements and sale transactions.

Karen has done “outside general counsel” work for many telecommunications and technology companies. She has handled numerous telecommunications and Internet infrastructure transactions, including IRU agreements, fiber swaps, capacity agreements, rack space agreements, collocation agreements, interconnection agreements, switched services agreements, Internet-services agreements and private-line agreements. Her experience involves a range of industries including telecommunications, software, Internet, agricultural and consumer products.
