Kirsten P. Foos

Kirsten P. Foos, formerly an associate at O'Melveny & Myers, has been involved with many transactions involving private equity investors, real estate investment trusts and operating companies in connection with debt and equity offerings and mergers and acquisitions.

Kirsten has experience in securities offerings, including secondary offerings and shelf offerings. In addition, she has experience in the Securities Exchange Act of 1934 reporting and compliance matters, including corporate governance and Sarbanes-Oxley issues, insider trading policies, and Section 16 matters.

Kirsten has worked on many projects involving boards of directors and committees. Kirsten is a co-author of the chapter on audit committees in the Handbook for Corporate Officers and Directors published by RR Donnelly.

• $91 million offering of common stock by Red Robin Gourmet Burgers, Inc. and selling stockholders.
• $62 million offering of common stock by Red Robin Gourmet Burgers, Inc.

 Private Financings

• $15 million private placement of convertible redeemable preferred stock by eEYE Inc.

Mergers and Acquisitions

• $60 million sale of Jonathan Manufacturing Corporation to Industrial Growth Partners through a sale of all of its common stock.
• $19 million acquisition of Messick Homecare, Inc. and Biomedical Home Care, Inc. by Apria Healthcare, Inc.
• Various asset acquisitions of small medical device companies by Apria Healthcare, Inc.
